Terms of Service

These Terms of Service govern access to and use of the Volto AI Worker platform, including its messaging, automation and third-party integration features.

By creating an account, connecting a third-party service or using Volto, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the Service.

1. The Service

Volto provides software for configuring and operating AI Workers that assist with communications, customer service, campaigns, data processing and connected workflows.

Some features depend on third-party services, including Meta and WhatsApp, Amazon Web Services, Vercel, OpenAI, Anthropic and other services selected or connected by the customer. Their availability and separate terms may affect the Service.

We may improve, modify or discontinue features to maintain security, legal compliance, platform compatibility or service quality.

2. Accounts and authority

You must provide accurate, current and complete account and business information.

You are responsible for protecting credentials, restricting account access and promptly notifying Volto of suspected unauthorized access.

If you use Volto for an organization, you represent that you have authority to bind that organization and to connect and manage the accounts, phone numbers, data and systems you provide.

3. Customer responsibilities

  • Use the Service only for lawful purposes and in accordance with all laws, industry rules and contractual obligations applicable to your business and communications.
  • Obtain all rights, notices, permissions and consents required to collect, upload, process and communicate using customer and end-user data.
  • Ensure that instructions, knowledge bases, campaigns, message content and connected data are accurate, lawful and do not infringe third-party rights.
  • Provide end users with the notices, support channels and choices required by law and by the policies of each connected communication channel.
  • Review configurations, recipients, templates, automation rules and AI outputs before placing them into production.

4. Meta and WhatsApp integrations

When using Meta or WhatsApp features, you must comply with the Meta Platform Terms, the WhatsApp Business Messaging Policy, the WhatsApp Business Terms, applicable messaging guidelines, commerce policies and technical documentation, as updated by Meta or WhatsApp.

You may connect only WhatsApp Business Accounts, business phone numbers and other Meta assets that you own or are expressly authorized to manage. You authorize Volto to process the permissions and Platform Data needed to provide the requested integration.

Messaging requirements

  • Maintain an accurate WhatsApp Business profile with valid customer support contact information and do not impersonate or misrepresent another business.
  • Contact a person on WhatsApp only after receiving their phone number and valid opt-in for the categories of messages or calls you intend to send. You are responsible for proving and maintaining that consent.
  • Clearly explain how recipients can opt out and promptly honor all requests to stop, block or restrict communications, whether received on or outside WhatsApp.
  • Use approved Message Templates to initiate conversations and whenever required outside WhatsApp's customer service window. Use each template only for its approved category and purpose.
  • When using automation, maintain clear and effective paths for escalation to a human or another direct support channel.
  • Use WhatsApp and Meta data only as reasonably necessary to provide the requested messaging service, protect it appropriately and comply with Volto's Privacy Policy.

Messaging restrictions

  • Do not send unauthorized bulk messages, spam, deceptive communications or messages that recipients would not reasonably expect.
  • Do not use the integration for illegal, discriminatory, fraudulent, harmful or prohibited goods, services or organizations, or in violation of applicable regulated-industry requirements.
  • Do not request or transmit full payment card numbers, financial account numbers, government identification numbers or other sensitive identifiers through WhatsApp unless expressly permitted by applicable law and platform policy.
  • Do not forward or expose one end user's conversation or personal data to another customer or unauthorized party.

Volto may restrict or suspend a WhatsApp or Meta integration when necessary to address a policy violation, negative quality signals, a security risk or an action taken by Meta or WhatsApp.

5. AI-generated content

AI Workers can produce incomplete, inaccurate or unexpected outputs. Volto does not guarantee that generated content is correct, complete or suitable for a particular decision.

You are responsible for appropriate human oversight, testing and review of AI behavior and outputs, particularly before sending communications or taking actions that affect another person.

Do not rely on the Service as the sole basis for medical, legal, financial, employment, credit or other high-impact decisions.

6. Acceptable use

  • Do not use the Service to violate law, facilitate harm, infringe rights or generate illegal or abusive content.
  • Do not bypass security controls, introduce malicious code, probe systems without authorization or interfere with service availability.
  • Do not reverse engineer, copy or attempt to obtain source code, models or non-public system components except where the law expressly permits it.
  • Do not use non-public portions of the Service to build a directly competing product or train a competing model.
  • Do not misuse prompts, tools, credentials, rate limits or connected systems to access data or perform actions without authorization.

7. Subscriptions and payments

Paid plans are billed according to the order, proposal or plan accepted by the customer. Charges may include fixed subscriptions and usage-based components.

Recurring subscriptions renew automatically for the applicable billing period unless canceled before renewal.

Except where required by law or expressly stated in writing, payments are non-refundable and unused service periods or usage are not credited.

Prices exclude applicable taxes, duties and government charges, which are the customer's responsibility.

8. Customer data and privacy

You retain ownership of the data, files, instructions and other content you provide to the Service.

You grant Volto a limited, worldwide license to host, copy, transmit and process that content solely as needed to provide, secure and support the Service and fulfill your instructions.

Our processing of personal data is described in the Privacy Policy. You remain responsible for your own privacy notices and legal obligations to end users.

9. Intellectual property

Volto and its licensors retain all rights in the Service, software, workflows, designs, trademarks and documentation, excluding customer data.

Subject to applicable law, third-party terms and payment of applicable fees, Volto assigns to the customer any rights Volto may hold in outputs generated specifically for that customer.

If you provide feedback, Volto may use it without restriction or compensation, provided it does not identify you or disclose confidential customer data.

10. Suspension and termination

Volto may suspend access to protect the Service or users, prevent unlawful activity, address non-payment or investigate a material breach of these Terms.

Access to Meta or WhatsApp features may be limited or terminated by Meta or WhatsApp. Volto does not control their review, quality or enforcement decisions.

Upon termination, your right to use the Service ends. Provisions concerning payments, ownership, confidentiality, liability, indemnification and disputes survive as applicable.

11. Disclaimers and limitation of liability

To the extent permitted by law, the Service is provided as is and as available, without implied warranties of merchantability, fitness for a particular purpose or non-infringement.

Volto is not liable for indirect, incidental, special, punitive or consequential damages, loss of profits, loss of data or interruption arising from the Service or third-party platforms.

To the maximum extent permitted by law, Volto's aggregate liability arising from the Service will not exceed the fees paid by the customer to Volto during the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to defend and indemnify Volto against third-party claims, damages and reasonable costs arising from your customer data, communications, products, use of connected platforms, violation of law or breach of these Terms.

13. Changes to these Terms

We may update these Terms to reflect changes in the Service, law or third-party platform requirements. We will publish the updated date and provide additional notice when required. Continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules.

To the extent enforceable under applicable law, disputes will be resolved by binding arbitration in Albuquerque, New Mexico, on an individual basis. Nothing prevents either party from seeking urgent injunctive relief or using a court where arbitration cannot lawfully be required.
